Affiliate Terms & Conditions

1. Agreement

By applying to or participating in the CellTek Labs Affiliate Program, you agree to be bound by these Affiliate Terms & Conditions, as well as any policies, guidelines, or program rules communicated by CellTek Labs.

If you do not agree to these terms, you should not apply for or participate in the program.

2. Program Overview

The CellTek Labs Affiliate Program allows approved affiliates to promote eligible CellTek Labs products using a unique affiliate link. Affiliates may earn commissions on qualifying purchases made through that link, subject to these terms.

3. Affiliate Eligibility and Approval

Submission of an application does not guarantee acceptance into the program. CellTek Labs reserves the right to approve or reject any application at its sole discretion.

We may review your website, social media presence, marketing methods, business model, and any other relevant information before approving your account.

4. Commission Structure

Approved affiliates may be eligible for one of the following commission structures:

• 10% commission paid via PayPal, or
• 15% commission issued as CellTek Labs store credit, if that option is selected and approved.

The applicable commission structure will be determined based on your selected program option and your affiliate account settings.

5. Eligible and Excluded Purchases

Commissions apply only to approved, completed purchases of eligible products made through your affiliate referral link.

Commissions are not paid on the following:

• Membership purchases
• Gift card purchases
• Shipping charges
• Taxes
• Refunded, cancelled, disputed, or charged-back orders
• Orders flagged as fraudulent or in violation of these terms

6. Discount Codes

Affiliates may be provided with a promotional discount code for audience use. Unless otherwise stated in writing by CellTek Labs, discount codes are intended to support affiliate marketing efforts by offering customers a promotion on qualifying orders.

The standard affiliate discount offer is 15% off a customer’s first purchase.

Discount code usage does not, by itself, create commission eligibility unless the qualifying purchase is properly tracked through the affiliate’s referral link.

7. Payment Terms

Commission payments are processed monthly and are paid via PayPal only for affiliates receiving cash commissions.

• Minimum payout threshold: $10.00
• Balances under $10.00 will roll over to the next payment cycle
• Affiliates are responsible for providing accurate PayPal payment information

If PayPal information is missing, invalid, or unable to receive payment, CellTek Labs may delay payment until the issue is corrected.

8. Store Credit Option

Affiliates who elect the store credit option may receive approved commissions in the form of CellTek Labs store credit rather than PayPal payment.

Store credit has no cash value, is non-transferable unless otherwise permitted by CellTek Labs, and may be subject to separate redemption rules communicated by the company.

9. Tracking and Reporting

Affiliate referrals and commissions are tracked through the CellTek Labs affiliate platform, including the affiliate dashboard provided through SliceWP.

Dashboard metrics may include referral clicks, successful referrals, conversion rate, pending commissions, approved commissions, paid commissions, and order values associated with tracked referral links.

CellTek Labs does not guarantee uninterrupted or error-free tracking and is not liable for losses resulting from browser settings, cookie blocking, technical failures, link misuse, or other tracking interruptions beyond reasonable control.

10. Affiliate Conduct

Affiliates must promote CellTek Labs in a truthful, ethical, and lawful manner. You agree not to engage in conduct that could damage the CellTek Labs brand or mislead customers.

Prohibited conduct includes, but is not limited to:

• Making false, misleading, or unsubstantiated product claims
• Misrepresenting your relationship with CellTek Labs
• Spam email, spam messaging, or other unsolicited promotional activity
• Using deceptive redirects, cookie stuffing, or unauthorized tracking methods
• Impersonating CellTek Labs or presenting yourself as an official company representative
• Bidding on branded keywords, trademarks, or misspellings of CellTek Labs without written permission
• Posting unlawful, defamatory, hateful, or otherwise inappropriate content in connection with promotion of the program

11. Compliance With Laws and Platform Rules

Affiliates are responsible for complying with all applicable laws, regulations, and advertising requirements, including disclosure obligations related to affiliate relationships.

You are also responsible for complying with the terms, rules, and policies of any platform you use to promote CellTek Labs, including social media platforms, advertising platforms, websites, and email service providers.

12. Intellectual Property

CellTek Labs may provide approved affiliates with access to certain brand assets, logos, graphics, or marketing materials. These materials remain the property of CellTek Labs and may be used only in connection with authorized participation in the affiliate program.

Affiliates may not alter, misuse, or claim ownership of CellTek Labs intellectual property.

13. Account Suspension or Termination

CellTek Labs reserves the right to suspend, limit, or terminate any affiliate account at any time, with or without notice, if we believe the affiliate has violated these terms, engaged in fraud, harmed the brand, or otherwise acted in a manner inconsistent with the program.

In the event of suspension or termination, CellTek Labs may withhold unpaid commissions associated with violations, fraudulent conduct, or ineligible transactions.

14. Modifications to the Program

CellTek Labs may modify, suspend, or discontinue the affiliate program, its commission structure, payment thresholds, eligible products, or these Terms of Service at any time.

Updated terms become effective when posted unless otherwise stated. Continued participation in the program after changes are posted constitutes acceptance of the revised terms.

15. Disclaimer and Limitation of Liability

The affiliate program is provided on an “as is” and “as available” basis. CellTek Labs makes no guarantees regarding earnings, conversions, referral volume, or uninterrupted operation of the affiliate platform.

To the fullest extent permitted by law, CellTek Labs shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to participation in the affiliate program.

16. Indemnification

You agree to indemnify, defend, and hold harmless CellTek Labs and its owners, officers, employees, and representatives from and against any claims, damages, liabilities, losses, costs, or expenses arising out of your participation in the affiliate program, your marketing activities, or your violation of these terms.
